Terms and Service

These Terms of Service and User Agreement form a legally binding contract between you and NodalBank. They set out who may open an account, how deposits, investments and withdrawals are handled, the risks you accept, and where responsibility lies on each side.

These Terms of Service and User Agreement (the "Terms" or "Agreement") constitute a legally binding agreement between you ("User", "you", or "your") and Nodal AI Infrastructures, operating under the brand name NodalBank ("NodalBank", "we", "us", or "our").

By creating an account, clicking "I Agree", accessing the Platform, depositing assets, subscribing to a product, initiating a transaction, using any NodalBank Service, or otherwise continuing to access or use the Platform, you acknowledge that you have read, understood and agreed to these Terms and all documents incorporated herein by reference.

If you do not understand or agree with these Terms, you must not access or use the Services.

DIGITAL ASSETS, INVESTMENT PRODUCTS AND FINANCIAL MARKETS INVOLVE SUBSTANTIAL RISK. VALUES MAY INCREASE OR DECREASE, RETURNS MAY VARY, AND YOU MAY LOSE SOME OR ALL OF THE ASSETS COMMITTED TO A PRODUCT. PAST PERFORMANCE, TARGET RETURNS, INDICATIVE RETURNS, ESTIMATES, FORECASTS AND HISTORICAL RESULTS ARE NOT GUARANTEES OF FUTURE PERFORMANCE.

1. Contracting Entity

Different NodalBank products may be provided by different NodalBank entities, affiliates or authorised third-party service providers.

Where product-specific terms identify a different contracting entity, those product-specific terms shall prevail with respect to that product.

2. NodalBank Brand and Regulatory Status

"NodalBank" is a commercial brand.

Unless expressly and specifically stated otherwise for a particular legal entity and Service, use of the word "Bank" as part of the NodalBank brand shall not by itself be interpreted as a representation that NodalBank is:

  • a licensed deposit-taking bank;
  • a credit institution;
  • a securities broker;
  • an investment adviser;
  • an investment company;
  • a securities exchange;
  • a money transmitter;
  • a payment institution;
  • an electronic money institution;
  • a regulated custodian; or
  • any other category of regulated financial institution.

Any applicable regulatory status shall be determined exclusively by express disclosure relating to the relevant NodalBank entity and Service.

Unless expressly stated otherwise, assets held with or through NodalBank are not bank deposits and may not benefit from deposit insurance, investor compensation, FDIC protection, SIPC protection or equivalent governmental insurance or compensation schemes.

3. Scope of These Terms

These Terms apply to all NodalBank websites, applications, dashboards, APIs, accounts, products and Services, including where available:

  • investment products;
  • digital asset products;
  • asset allocation products;
  • Nodal Pay;
  • payment and settlement services;
  • Nodal Nodes;
  • infrastructure services;
  • Nodal Company;
  • corporate account services;
  • treasury management;
  • Nodal Prop;
  • proprietary trading-related services;
  • referral programs;
  • loyalty and promotional programs;
  • APIs;
  • account management tools; and
  • future products introduced by NodalBank.

Availability of a Service on the Platform does not mean that the Service is legally available to every User or in every jurisdiction.

4. Incorporated Legal Documents

The following documents, as amended from time to time, form part of this Agreement where applicable:

  • Privacy Policy;
  • Cookie Policy;
  • Risk Disclosure Statement;
  • AML/KYC Policy;
  • product-specific terms;
  • investment plan rules;
  • referral program rules;
  • fee schedules;
  • withdrawal rules;
  • acceptable use policies;
  • security requirements;
  • promotional terms;
  • API terms;
  • risk-control guidelines; and
  • notices, disclosures and rules displayed in connection with a particular Service.

In case of conflict, product-specific terms shall generally prevail regarding that product, followed by these Terms, unless applicable law requires otherwise.

5. Eligibility

To open or use a NodalBank Account, you represent and warrant that:

  1. you are at least eighteen (18) years old and have full legal capacity;
  2. you are legally permitted to enter into this Agreement;
  3. you are not using the Services on behalf of another person unless expressly authorised;
  4. all information supplied by you is accurate, complete and current;
  5. your use of the Services is lawful in every jurisdiction applicable to you;
  6. you are not subject to sanctions or restrictions prohibiting NodalBank from providing Services to you;
  7. you are not accessing a Service from a Restricted Jurisdiction where that Service is prohibited;
  8. assets deposited or transferred by you are lawfully owned or controlled by you;
  9. assets do not constitute proceeds of crime or prohibited activity;
  10. you are not attempting to circumvent any geographic, regulatory, compliance or account limitation; and
  11. you will comply with all applicable laws and regulations.

NodalBank may impose additional eligibility criteria for individual Services.

6. Geographic and Regulatory Restrictions

NodalBank may restrict, prohibit or discontinue access to any Service in any jurisdiction where we determine that provision of the Service may:

  • violate applicable law;
  • require a licence or authorisation not held by the relevant provider;
  • expose NodalBank or an affiliate to disproportionate regulatory risk;
  • violate economic sanctions;
  • conflict with instructions from a competent authority;
  • expose NodalBank to unacceptable legal, financial, operational or reputational risk; or
  • otherwise be inappropriate from a compliance or risk-management perspective.

The absence of a jurisdiction from a published restricted-country list does not constitute a representation that every NodalBank Service is legally available there.

You are responsible for determining whether your use of a Service is lawful in your jurisdiction.

7. United States Users

Certain NodalBank products may not be offered to persons located in, resident in, organised in, or otherwise subject to the jurisdiction of the United States.

A Service shall be made available to a U.S. Person only where NodalBank determines that the Service may lawfully be provided to that person.

Nothing on the Platform constitutes an offer or solicitation of securities, investment contracts, derivatives or regulated financial products in the United States where such offer or solicitation would be unlawful.

NodalBank reserves the right to restrict Services based on nationality, residence, citizenship, physical location, tax residence or other jurisdictional nexus.

8. European Economic Area and United Kingdom Users

Certain Services may be restricted or unavailable to consumers located in the European Economic Area or United Kingdom.

Where mandatory consumer protection law applies, nothing in these Terms shall exclude rights that cannot lawfully be waived or limited.

Where a provision of these Terms conflicts with a mandatory consumer protection rule applicable to a User, the mandatory rule shall prevail only to the extent required by law, and the remaining Terms shall remain effective.

9. Account Registration

Users may be required to create an account before accessing Services.

You may ordinarily maintain only one personal account unless NodalBank expressly authorises otherwise.

NodalBank may reject an account application without obligation to provide detailed reasons where permitted by law.

Opening an account does not create an obligation for NodalBank to provide every Service.

We may apply different account levels, transaction limits, investment limits, withdrawal limits and verification requirements to different Users.

10. KYC, KYB, AML and Compliance

NodalBank may perform identity verification, customer due diligence, enhanced due diligence, transaction monitoring, sanctions screening, fraud screening and other compliance procedures at any time.

You agree to provide any information we reasonably request, including:

  • identification documents;
  • selfie or liveness verification;
  • proof of residential address;
  • tax information;
  • employment information;
  • corporate documents;
  • beneficial ownership information;
  • source of funds;
  • source of wealth;
  • bank statements;
  • transaction records;
  • wallet ownership evidence;
  • explanation of transactions;
  • relationship with counterparties; and
  • any other documentation considered reasonably necessary.

Verification may be required:

  • during registration;
  • before deposits;
  • before investments;
  • before withdrawals;
  • following unusual activity;
  • when account information changes;
  • when legal requirements change; or
  • at any other time deemed reasonably necessary.

11. Failure to Complete Verification

If you fail or refuse to provide requested information or if information is incomplete, inconsistent or unsatisfactory, NodalBank may, to the maximum extent permitted by applicable law:

  • reject your application;
  • restrict your account;
  • suspend transactions;
  • decline deposits;
  • delay or refuse withdrawals;
  • require enhanced verification;
  • reduce account limits;
  • terminate Services;
  • close your Account; or
  • take other measures reasonably necessary for compliance or risk management.

NodalBank shall not be responsible for losses arising solely from a lawful compliance restriction imposed in good faith.

12. Sanctions and Prohibited Persons

You represent that neither you nor, where applicable, your beneficial owners, controlling persons or authorised representatives are subject to sanctions that legally prohibit NodalBank from dealing with you.

NodalBank may screen Users and transactions against sanctions lists issued by authorities including competent authorities of:

  • the United Nations;
  • European Union;
  • United States;
  • United Kingdom; and
  • other jurisdictions relevant to NodalBank or its service providers.

NodalBank may block, freeze, reject, return or report assets or transactions where legally required.

No provision of these Terms obliges NodalBank to undertake a transaction prohibited by sanctions law.

13. Account Security

You are solely responsible for maintaining adequate security over:

  • usernames;
  • passwords;
  • authentication devices;
  • recovery codes;
  • email accounts;
  • mobile devices;
  • API credentials;
  • wallets; and
  • other security credentials.

You must immediately notify NodalBank if you suspect compromise or unauthorised access.

Unless mandatory law provides otherwise, activity authenticated using valid account credentials may be treated as authorised by you until NodalBank receives sufficient notice of compromise and has had a reasonable opportunity to act.

14. Deposits

Deposits may be subject to:

  • minimum amounts;
  • supported networks;
  • supported assets;
  • confirmations;
  • compliance screening;
  • verification;
  • fees; and
  • other conditions displayed by NodalBank.

You must use only deposit addresses, networks and payment instructions supported by NodalBank.

NodalBank shall not be responsible, except where required by mandatory law, for assets lost because a User:

  • uses an unsupported blockchain;
  • sends an unsupported token;
  • enters an incorrect address;
  • fails to include a required tag or memo;
  • sends assets using an incompatible smart contract; or
  • otherwise fails to follow deposit instructions.

Recovery of incorrectly deposited assets, where technically possible, may be subject to fees and additional verification.

15. Withdrawals

Withdrawals are subject to NodalBank's security, compliance, liquidity and operational procedures.

A withdrawal request does not create an unconditional obligation to immediately release assets.

NodalBank may delay, restrict or reject a withdrawal where reasonably necessary because of:

  • incomplete KYC or KYB;
  • AML review;
  • sanctions screening;
  • unusual account activity;
  • suspected fraud;
  • suspected unauthorised access;
  • source-of-funds concerns;
  • blockchain congestion;
  • technical incidents;
  • liquidity constraints;
  • outstanding obligations;
  • legal proceedings;
  • security concerns;
  • disputes concerning ownership;
  • court orders;
  • regulatory requests;
  • pending chargebacks;
  • incorrect account information; or
  • any other circumstance where processing the withdrawal could expose NodalBank or another person to legal, regulatory, operational or financial risk.

Where legally permitted, NodalBank is not required to disclose confidential compliance criteria or risk indicators.

16. Investment Products

NodalBank may make available products under which Users allocate assets to strategies, programs, portfolios, pools, counterparties, protocols or other investment arrangements.

Each product may have separate:

  • subscription periods;
  • maturity periods;
  • lock-up periods;
  • withdrawal conditions;
  • projected or variable returns;
  • risk levels;
  • settlement procedures;
  • management methodologies;
  • counterparties; and
  • fees.

The applicable product-specific terms form part of this Agreement.

17. Returns, Yields and Performance

Unless a product-specific legally binding agreement expressly states otherwise, any:

  • APY;
  • APR;
  • ROI;
  • profit rate;
  • target return;
  • estimated return;
  • projected return;
  • historical return;
  • modelled return;
  • expected return;
  • dashboard estimate; or
  • similar performance figure

is indicative only and does not constitute a guarantee.

Actual returns may differ materially.

NodalBank may revise prospective indicative rates based on:

  • market conditions;
  • liquidity;
  • strategy performance;
  • funding conditions;
  • counterparty performance;
  • operational costs;
  • regulatory changes; or
  • risk-management considerations.

Changes shall not retroactively reduce vested contractual entitlements except where permitted by the applicable product terms or mandatory law.

18. No Guarantee of Profit

Except where a specific product agreement expressly creates an enforceable fixed payment obligation, NodalBank does not guarantee:

  • profit;
  • principal preservation;
  • uninterrupted yield;
  • a minimum return;
  • token appreciation;
  • liquidity;
  • execution price; or
  • future performance.

You acknowledge that financial and digital-asset markets involve substantial risk.

You must not commit assets you cannot afford to lose.

19. No Investment, Financial, Tax or Legal Advice

NodalBank does not act as your personal:

  • investment adviser;
  • financial adviser;
  • legal adviser;
  • tax adviser;
  • fiduciary;
  • broker; or
  • agent,

unless a specific written agreement expressly provides otherwise.

Information provided through the Platform is for general informational purposes.

You remain solely responsible for evaluating whether a Service is appropriate for you.

You should obtain independent professional advice where appropriate.

20. No Fiduciary Relationship

To the maximum extent permitted by applicable law, no fiduciary, trustee, advisory, partnership, joint venture or agency relationship arises merely because you use NodalBank.

NodalBank may act in its own commercial interests, subject to applicable law and any express contractual obligations owed to you.

21. Digital Asset Risks

You acknowledge that digital assets may involve risks including:

  • extreme price volatility;
  • total loss of value;
  • regulatory changes;
  • forks;
  • protocol failure;
  • smart-contract vulnerabilities;
  • hacking;
  • validator failure;
  • network congestion;
  • stablecoin depegging;
  • counterparty failure;
  • custody failure;
  • cyberattack;
  • market manipulation;
  • liquidity shortages;
  • delisting;
  • protocol governance changes;
  • transaction irreversibility;
  • private-key compromise; and
  • events not reasonably foreseeable.

You accept these risks when using digital-asset-related Services.

22. Blockchain Transactions

Blockchain transactions may be irreversible.

Once a withdrawal or blockchain transfer has been transmitted to the relevant network, NodalBank may be unable to cancel, recover or modify it.

Blockchain confirmation times are outside NodalBank's exclusive control.

NodalBank does not guarantee transaction confirmation within any particular timeframe.

23. Custody and Asset Structure

The legal and beneficial ownership, custody and segregation treatment of assets may depend on the relevant Service.

Assets may, where permitted and disclosed:

  • be held through third-party custodians;
  • be held in pooled or omnibus wallets;
  • be transferred to execution counterparties;
  • be deployed into strategies or protocols;
  • be converted for settlement purposes; or
  • otherwise be handled as described in the applicable product terms.

NodalBank does not represent that all User assets are held in individually segregated blockchain wallets unless expressly stated.

24. Third-Party Providers

NodalBank may use third parties for:

  • custody;
  • liquidity;
  • banking;
  • payments;
  • blockchain services;
  • hosting;
  • KYC;
  • AML;
  • sanctions screening;
  • analytics;
  • trading infrastructure;
  • cybersecurity;
  • settlement; and
  • other operational functions.

Third-party failure may affect Services.

To the maximum extent permitted by law, NodalBank shall not be responsible for losses caused exclusively by independent third parties outside NodalBank's reasonable control, except where NodalBank failed to exercise a legally required standard of care in selecting or supervising such provider.

25. Pricing and Market Data

Prices, charts, valuations and market information displayed on the Platform may be obtained from third-party sources.

Displayed prices may differ from prices available on external markets.

NodalBank does not guarantee that market information is:

  • complete;
  • uninterrupted;
  • error-free;
  • current; or
  • suitable for any particular purpose.

26. Fees

NodalBank may charge fees for Services.

Applicable fees may include:

  • transaction fees;
  • withdrawal fees;
  • network fees;
  • management fees;
  • performance fees;
  • conversion fees;
  • service fees;
  • custody fees;
  • administrative fees; and
  • other fees disclosed before or in connection with the relevant Service.

NodalBank may change prospective fees from time to time.

You authorise NodalBank, where legally permissible, to deduct amounts owed to NodalBank from balances held in your Account.

27. Set-Off

To the maximum extent permitted by applicable law, NodalBank may set off amounts owed by you against amounts otherwise payable or transferable to you.

This may include:

  • unpaid fees;
  • chargebacks;
  • negative balances;
  • erroneous credits;
  • indemnification obligations;
  • fraud-related losses; and
  • other amounts lawfully due.

28. Erroneous Credits and Transactions

You have no right to retain assets, money, rewards, profits or credits received because of:

  • technical error;
  • pricing error;
  • accounting error;
  • duplicate payment;
  • incorrect calculation;
  • system malfunction;
  • exploitation;
  • bug;
  • unauthorised activity; or
  • manifest mistake.

NodalBank may correct such errors.

You authorise NodalBank to reverse erroneous internal entries and deduct improperly credited amounts from your Account to the extent permitted by law.

If insufficient assets remain in your Account, you remain liable to return the excess amount.

29. Clawback

Where a User receives a financial benefit through:

  • fraud;
  • manipulation;
  • exploitation of a system vulnerability;
  • violation of referral rules;
  • abuse of promotions;
  • duplicate accounts;
  • wash activity;
  • misrepresentation;
  • unauthorised activity; or
  • breach of these Terms,

NodalBank may, to the maximum extent permitted by law:

  • cancel the benefit;
  • reverse an internal credit;
  • recover the benefit;
  • offset it against Account assets;
  • cancel rewards;
  • terminate eligibility; or
  • pursue legal recovery.

30. Prohibited Use

You may not use NodalBank for:

  • money laundering;
  • terrorist financing;
  • sanctions evasion;
  • fraud;
  • theft;
  • ransomware;
  • trafficking;
  • illegal gambling;
  • unlawful financial services;
  • market manipulation;
  • wash trading;
  • spoofing;
  • fraudulent investment schemes;
  • phishing;
  • cybercrime;
  • malware distribution;
  • stolen assets;
  • impersonation;
  • identity theft;
  • unauthorised account access;
  • circumvention of geographic restrictions;
  • circumvention of KYC;
  • manipulation of promotions or referral programs;
  • abuse of NodalBank infrastructure; or
  • any other unlawful purpose.

31. Market Abuse and Platform Abuse

NodalBank may investigate behaviour reasonably suspected to constitute:

  • manipulation;
  • self-dealing;
  • coordinated abuse;
  • artificial volume creation;
  • exploitative automation;
  • arbitrage arising solely from a technical defect;
  • exploitation of stale prices;
  • misuse of API access;
  • referral farming;
  • bonus abuse;
  • identity farming;
  • multiple-account abuse; or
  • circumvention of risk controls.

NodalBank may take protective action where such activity is reasonably suspected.

32. Suspension and Restriction

NodalBank may temporarily or permanently restrict an Account or Service where we reasonably determine that such action is appropriate for:

  • compliance;
  • security;
  • fraud prevention;
  • risk management;
  • investigation;
  • protection of Users;
  • protection of NodalBank;
  • protection of third parties;
  • legal compliance;
  • regulatory compliance; or
  • preservation of assets.

Restrictions may include:

  • disabling login;
  • restricting deposits;
  • restricting withdrawals;
  • restricting transfers;
  • suspending investment subscriptions;
  • disabling certain products;
  • holding transactions;
  • requiring additional verification; or
  • limiting Account functionality.

Where permitted by law, restrictions may be imposed without advance notice where notice could compromise security, compliance or an investigation.

33. Account Freeze

NodalBank may freeze assets or Account functionality where there is a reasonable basis to believe that:

  • assets may be stolen;
  • ownership is disputed;
  • fraud may have occurred;
  • an Account is compromised;
  • sanctions may apply;
  • a legal order applies;
  • a governmental investigation exists;
  • a chargeback is pending;
  • assets may constitute proceeds of crime;
  • withdrawal could cause legal or financial harm;
  • another User claims ownership supported by credible evidence; or
  • additional investigation is reasonably required.

A freeze may remain in place for as long as reasonably necessary or legally required.

34. Termination by NodalBank

To the maximum extent permitted by applicable law, NodalBank may terminate or discontinue your access to any or all Services where:

  • you breach these Terms;
  • you fail KYC/KYB;
  • information provided by you is false or misleading;
  • you create unacceptable legal or compliance risk;
  • your jurisdiction becomes restricted;
  • a Service becomes unlawful;
  • we suspect fraud or abuse;
  • your Account presents security risk;
  • you fail to pay amounts owed;
  • a regulator or authority requires action;
  • our banking, custody or service partners cannot support your Account;
  • continuing the relationship would expose NodalBank to material risk; or
  • another legitimate business, compliance or security reason exists.

Where mandatory law requires notice, NodalBank will provide such notice.

NodalBank need not disclose information where disclosure is prohibited by law or could compromise fraud prevention, security or compliance procedures.

35. Termination by User

You may request Account closure subject to:

  • settlement of outstanding transactions;
  • completion of compliance reviews;
  • satisfaction of debts or fees;
  • resolution of disputes;
  • applicable lock-up periods;
  • legal retention requirements; and
  • other outstanding obligations.

Account closure does not extinguish liabilities accrued before closure.

36. Dormant Accounts

NodalBank may classify an Account as dormant after an extended period of inactivity.

Where permitted by applicable law and disclosed in the applicable fee schedule, dormant accounts may be subject to administrative procedures or fees.

NodalBank may require renewed verification before reactivating a dormant Account.

37. Death or Incapacity

Upon receiving credible notice of death or legal incapacity, NodalBank may freeze the Account until authorised successors or representatives provide documentation satisfactory to NodalBank.

NodalBank may require:

  • death certificates;
  • probate documents;
  • court orders;
  • letters of administration;
  • identification;
  • tax documents; and
  • indemnities.

NodalBank may rely on documents reasonably believed to be authentic.

38. Taxes

You are solely responsible for determining and satisfying tax obligations arising from your use of the Services.

NodalBank does not provide tax advice.

NodalBank may:

  • collect tax-related information;
  • withhold amounts where legally required;
  • report transactions to tax authorities; and
  • provide information under lawful tax-reporting regimes.

39. Referral and Reward Programs

Referral commissions, bonuses, promotional rewards and similar benefits are discretionary promotional arrangements unless otherwise expressly stated.

NodalBank may establish eligibility requirements, qualification periods, limits and anti-abuse rules.

No referral reward becomes unconditional until all applicable requirements have been satisfied.

NodalBank may cancel or recover rewards generated through fraud, manipulation or abuse.

40. Communications and Electronic Contracting

You consent to receiving contractual, operational, security, compliance and account communications electronically.

Communications may be delivered through:

  • email;
  • dashboard notification;
  • website notice;
  • application notification;
  • SMS; or
  • another contact method supplied by you.

Electronic records and acceptances may constitute legally binding records to the extent permitted by applicable law.

41. Records

NodalBank's electronic records, system logs, transaction records, authentication records and account data may be used as evidence of activity conducted through the Platform, subject to applicable evidentiary law.

You must promptly notify NodalBank if you believe an Account record is materially incorrect.

42. No Reliance on Oral Representations

No statement made by:

  • customer support personnel;
  • sales representatives;
  • community moderators;
  • affiliates;
  • introducers;
  • referral partners;
  • influencers; or
  • other persons

shall modify these Terms unless the modification is expressly authorised by NodalBank in writing.

You should rely only on official Legal Documents and formal product disclosures.

43. Platform Availability

NodalBank does not guarantee uninterrupted or continuous availability.

Services may be suspended for:

  • maintenance;
  • upgrades;
  • cyber incidents;
  • network failures;
  • blockchain failures;
  • infrastructure failures;
  • third-party outages;
  • regulatory requirements;
  • security measures; or
  • force majeure.

NodalBank may modify technical architecture without notice where such modification does not materially impair vested contractual rights.

44. Service Modifications

NodalBank may introduce, modify, suspend or discontinue Services.

Where reasonably practicable, Users materially affected by a permanent discontinuation will be provided appropriate instructions regarding affected assets.

Nothing requires NodalBank to continue operating a particular product indefinitely.

45. Forks, Airdrops and Network Events

NodalBank retains discretion, acting reasonably and subject to applicable law, to determine whether and how to support:

  • blockchain forks;
  • token migrations;
  • airdrops;
  • staking distributions;
  • network upgrades;
  • redenominations;
  • protocol changes; and
  • similar events.

Holding an underlying asset with NodalBank does not automatically create an entitlement to receive every forked asset, airdrop or protocol benefit.

46. Force Majeure

NodalBank shall not be liable for delay or failure caused by circumstances beyond its reasonable control, including:

  • natural disasters;
  • war;
  • terrorism;
  • civil unrest;
  • sanctions;
  • governmental action;
  • regulatory intervention;
  • epidemic or pandemic;
  • telecommunications failure;
  • internet disruption;
  • blockchain disruption;
  • cyberattack;
  • power failure;
  • cloud-provider failure;
  • banking disruption;
  • liquidity crisis;
  • market closure;
  • smart-contract failure;
  • protocol failure; or
  • other comparable events.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

NODALBANK DISCLAIMS ALL WARRANTIES NOT EXPRESSLY PROVIDED IN THESE TERMS, INCLUDING IMPLIED WARRANTIES OF:

  • MERCHANTABILITY;
  • FITNESS FOR A PARTICULAR PURPOSE;
  • NON-INFRINGEMENT;
  • ACCURACY;
  • AVAILABILITY;
  • RELIABILITY; AND
  • ERROR-FREE OPERATION,

TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.

Nothing in this section excludes mandatory consumer warranties that cannot lawfully be excluded.

48. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NODALBANK AND ITS AFFILIATES, SHAREHOLDERS, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR:

  • INDIRECT LOSS;
  • CONSEQUENTIAL LOSS;
  • SPECIAL DAMAGES;
  • INCIDENTAL DAMAGES;
  • PUNITIVE DAMAGES;
  • LOST PROFITS;
  • LOSS OF OPPORTUNITY;
  • LOSS OF ANTICIPATED RETURN;
  • LOSS OF GOODWILL;
  • LOSS OF BUSINESS;
  • LOSS RESULTING FROM MARKET MOVEMENTS;
  • LOSS RESULTING FROM USER ERROR;
  • LOSS ARISING FROM THIRD-PARTY FAILURE; OR
  • LOSS OF DATA,

except to the extent liability cannot lawfully be excluded.

49. Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NODALBANK'S AGGREGATE LIABILITY ARISING FROM OR RELATING TO A PARTICULAR SERVICE SHALL NOT EXCEED THE GREATER OF:

(A) the fees actually paid by you to NodalBank for that Service during the six (6) months preceding the event giving rise to the claim; or

(B) USD 100,

unless mandatory law requires a higher amount.

This limitation shall not apply where liability cannot legally be limited, including where applicable law provides otherwise for fraud, wilful misconduct, gross negligence, death or personal injury.

50. Exclusion of Market Losses

NodalBank shall not be responsible for losses resulting from:

  • market movements;
  • asset depreciation;
  • volatility;
  • liquidity changes;
  • changes in interest rates;
  • exchange-rate fluctuations;
  • protocol changes;
  • stablecoin depegging;
  • regulatory developments; or
  • independent investment decisions,

unless such loss results directly from liability that cannot lawfully be excluded.

51. User Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify, defend and hold harmless NodalBank and its:

  • affiliates;
  • shareholders;
  • directors;
  • officers;
  • employees;
  • contractors;
  • agents;
  • licensors; and
  • service providers

against claims, liabilities, damages, penalties, losses and reasonable legal expenses arising from:

  1. your breach of these Terms;
  2. your unlawful use of the Services;
  3. fraud or misconduct by you;
  4. inaccurate representations made by you;
  5. violation of third-party rights;
  6. violation of applicable law;
  7. disputes concerning assets deposited by you; or
  8. actions taken by another person using credentials where such access resulted from your failure to maintain reasonable security.

This indemnity does not apply to the extent prohibited by mandatory consumer law.

52. Investigations

NodalBank may investigate suspected breaches of these Terms.

You agree to reasonably cooperate with investigations.

NodalBank may preserve and analyse:

  • transaction records;
  • login information;
  • device information;
  • blockchain activity;
  • communication records;
  • KYC documents; and
  • other relevant evidence.

NodalBank may use specialist investigators, forensic providers, blockchain analytics providers or professional advisers.

53. Cooperation With Authorities

NodalBank may comply with valid legal requests from:

  • courts;
  • regulators;
  • law-enforcement bodies;
  • tax authorities;
  • sanctions authorities;
  • financial intelligence units; and
  • other competent authorities.

Where legally permitted, NodalBank may voluntarily provide information where reasonably necessary to prevent or investigate serious fraud, cybercrime, money laundering, sanctions violations or other unlawful conduct.

NodalBank shall not be required to notify you where such notification is prohibited or inappropriate under applicable law.

54. Privacy

Personal information is processed in accordance with the NodalBank Privacy Policy and applicable data protection law.

Use of the Services may require international transfer and processing of personal information.

55. Intellectual Property

All intellectual property rights relating to:

  • the NodalBank brand;
  • software;
  • website;
  • applications;
  • APIs;
  • designs;
  • algorithms;
  • documentation;
  • databases;
  • interfaces;
  • graphics;
  • trademarks;
  • content; and
  • proprietary technology

belong to NodalBank or its licensors.

No ownership rights are transferred to Users.

56. Limited Licence

Subject to compliance with these Terms, NodalBank grants you a limited, personal, non-exclusive, non-transferable and revocable licence to access the Platform solely for permitted use.

You may not:

  • copy;
  • reverse engineer;
  • scrape;
  • decompile;
  • reproduce;
  • commercially exploit;
  • circumvent;
  • modify; or
  • create derivative works from

the Platform except where applicable law expressly permits such conduct.

57. API and Automated Access

Automated access is prohibited unless expressly authorised.

NodalBank may:

  • impose rate limits;
  • revoke API credentials;
  • restrict automated strategies;
  • block abusive requests; and
  • implement technical controls.

Users remain responsible for activity performed using their API credentials.

58. Conflicts of Interest

NodalBank, its affiliates or counterparties may have interests that differ from those of Users.

Where relevant, NodalBank may:

  • deal with multiple counterparties;
  • use affiliated service providers;
  • earn fees or spreads;
  • participate in markets in which Users participate; or
  • provide products with different economic interests.

NodalBank will manage legally material conflicts in accordance with applicable law.

59. Assignment

You may not transfer or assign your rights or obligations under these Terms without NodalBank's prior written consent.

NodalBank may assign or transfer this Agreement to:

  • an affiliate;
  • successor;
  • purchaser of the business;
  • purchaser of substantially all relevant assets;
  • entity resulting from a merger or restructuring; or
  • another service provider,

subject to applicable law.

60. Changes to These Terms

NodalBank may amend these Terms from time to time.

Changes may be made because of:

  • legal developments;
  • regulatory requirements;
  • new Services;
  • security requirements;
  • market developments;
  • operational changes;
  • risk-management needs; or
  • business changes.

Material changes affecting consumer rights will be communicated as required by applicable law.

Where permitted by law, continued use after an amendment becomes effective constitutes acceptance.

If you reject an amendment, your remedy may be to discontinue use and close your Account, subject to outstanding obligations.

61. Governing Law

Except where mandatory local law provides otherwise, these Terms and any non-contractual obligations arising from them shall be governed by the laws of:

63. Arbitration — Non-Consumer Users

Unless prohibited by applicable law, disputes involving business, institutional or professional Users may be finally resolved by binding arbitration under:

64. United States Arbitration Addendum

This Section applies only to the extent legally enforceable against the relevant U.S. User.

Except for disputes eligible for small-claims court and claims for urgent injunctive relief, disputes between NodalBank and a U.S. User may be resolved through individual binding arbitration under the applicable arbitration rules identified in the U.S.-specific Service terms.

Arbitration shall take place on an individual basis.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND NODALBANK WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION OR REPRESENTATIVE ACTION.

If applicable law makes a particular part of this Section unenforceable, that part shall be severed or modified to the minimum extent necessary.

65. European Consumers

Nothing in Sections 61–64 deprives an EEA, UK or other protected consumer of:

  • mandatory rights;
  • access to courts where required by law;
  • statutory consumer remedies; or
  • other protections that cannot validly be waived in advance.

Any dispute clause shall operate only to the maximum extent legally enforceable.

66. No Class or Representative Actions

For Users not protected by mandatory laws providing otherwise, disputes must be brought individually.

To the maximum extent permitted by law, neither party may bring or participate in a class, collective, consolidated or representative proceeding.

This provision shall not apply where such waiver is prohibited by applicable law.

67. Limitation Period

To the maximum extent permitted by applicable law, any claim arising from the Services must be brought within one (1) year after the claimant knew or reasonably should have known of the events giving rise to the claim.

Where mandatory law prescribes a longer non-waivable period, that period shall apply.

68. Complaints

Users may submit complaints through official NodalBank support channels.

NodalBank may establish specific complaint-handling procedures for regulated products or jurisdictions where required.

Submission of a complaint does not suspend undisputed contractual payment or compliance obligations unless required by law.

69. Severability and Modification for Enforceability

If a court or tribunal determines that any provision is invalid or unenforceable, that provision shall, where legally permissible:

  1. be interpreted narrowly;
  2. be modified to the minimum extent necessary to become enforceable; or
  3. if modification is unavailable, be severed.

The remaining Terms shall continue in effect.

70. No Waiver

Failure by NodalBank to enforce a right does not waive that right.

A waiver is effective only if expressly made by an authorised representative.

A waiver relating to one event does not constitute a waiver relating to any subsequent event.

71. Survival

Provisions concerning:

  • liability;
  • indemnification;
  • intellectual property;
  • confidentiality;
  • dispute resolution;
  • taxes;
  • outstanding payments;
  • investigations;
  • data retention;
  • legal claims; and
  • other provisions intended by their nature to survive

shall survive termination of this Agreement.

72. Entire Agreement

These Terms together with incorporated Legal Documents constitute the agreement governing your use of the Services and supersede prior representations concerning the same subject matter.

Nothing in this clause excludes liability for fraudulent misrepresentation where such exclusion would be unlawful.

73. Headings

Headings are for convenience only and do not affect interpretation.

74. Language

These Terms are prepared in English.

Translations may be provided for convenience.

To the maximum extent permitted by applicable law, the English version shall control where a discrepancy exists.

Where mandatory consumer law requires a local-language version to prevail, that law shall apply.

75. Interpretation

References to:

  • "including" mean "including without limitation";
  • singular terms include plural terms and vice versa;
  • statutes include amendments and replacements; and
  • NodalBank include the relevant contracting entity and, where context requires, its successors.

76. Regulatory Change

Financial and digital-asset regulation evolves rapidly.

If a legal or regulatory change affects a Service, NodalBank may:

  • modify the Service;
  • restrict access;
  • introduce additional verification;
  • limit functionality;
  • transfer eligible Services to another appropriately authorised entity;
  • require acceptance of additional terms; or
  • discontinue the affected Service.

NodalBank shall not be required to provide a Service where doing so becomes unlawful.

77. Protective Action

Nothing in these Terms limits NodalBank's ability to take proportionate protective measures where reasonably necessary to prevent:

  • fraud;
  • theft;
  • cyberattack;
  • unauthorised access;
  • legal violations;
  • significant financial loss;
  • market abuse; or
  • harm to Users or the Platform.

Such measures may be taken before completion of an investigation where delay could materially increase risk.

78. Reservation of Rights

Except for rights expressly granted to Users under these Terms or mandatory law, all rights relating to the Platform and Services are reserved by NodalBank.

No provision shall be interpreted as requiring NodalBank to provide a particular product, transaction, feature, account limit or commercial arrangement indefinitely.

79. User Acknowledgements

By using the Services, you expressly acknowledge and agree that:

  1. you have reviewed these Terms;
  2. you understand the nature of the Services you use;
  3. financial and digital assets may be volatile;
  4. you may lose some or all assets committed to certain products;
  5. past performance is not indicative of future performance;
  6. displayed yields may not be guaranteed;
  7. NodalBank may conduct KYC/AML checks;
  8. withdrawals may be delayed for lawful security or compliance reasons;
  9. NodalBank may restrict an Account where contractually or legally justified;
  10. applicable law may limit availability of Services;
  11. blockchain transactions may be irreversible;
  12. third-party failures may affect Services;
  13. tax obligations are your responsibility;
  14. NodalBank generally does not provide personal investment advice;
  15. use of the brand "NodalBank" does not itself establish bank licensing or deposit insurance;
  16. you have not relied on promises inconsistent with official Legal Documents; and
  17. you have had an opportunity to seek independent legal, financial and tax advice.
